Terms of service

The agreement between you and SNN Systems when you buy or use its software.

1. Who you are contracting with

"SNN Systems", "the studio", "we" and "us" mean the software studio operated by Shahriar Nasim Nafi in Bangladesh. "You" means the person or organisation buying or using the software. These terms apply to this website and to the products the studio sells, currently Chwilio and Heedpost.

By buying, downloading or using the software you agree to these terms. If you are agreeing on behalf of an organisation, you confirm you are authorised to bind it.

2. What you are buying

You are buying a licence to use the software, not the software itself. The studio keeps ownership of the products, their source code and everything in them. Nothing you buy transfers copyright or any other intellectual property right to you.

What a purchase covers depends on the product:

  • Chwilio is licensed as a one-time purchase, per machine, at the seat count shown on the pricing page at the time you buy. A purchase includes updates and support for the period stated at checkout; when that period ends you keep the right to go on using the last version released within it.
  • Heedpost is a hosted service licensed as a subscription per workspace. Access continues while the subscription is paid and stops when it ends.

3. Licence grant

Subject to these terms and to payment, the studio grants you a non-exclusive, non-transferable, revocable licence to install and use the software for your own purposes, personal or commercial, within the limits of the plan you bought.

4. What you may not do

  • Resell, sublicense, rent, lease or redistribute the software or a licence key.
  • Share a licence key beyond the seats or machines it was sold for.
  • Work around licensing, activation or payment controls, or use a key obtained by those means.
  • Reverse engineer, decompile or disassemble the software, except to the extent that applicable law expressly permits it despite this restriction.
  • Remove or alter copyright, licence or attribution notices.
  • Use the software to break the law or to infringe someone else's rights.

5. Using the hosted service

You are responsible for the content posted in a workspace you control and for the people you invite into it. Do not use the service to publish unlawful content, to harass anyone, to send spam, or to attack or overload the infrastructure. A workspace may be suspended without notice where there is a credible risk to the service or its other users, and you will be told why as soon as reasonably possible.

Your data is yours. You can export it while the subscription is active. After a subscription ends, data is retained for a short grace period and then deleted.

6. Prices, payment and merchant of record

Paddle.com Market Ltd acts as the merchant of record for all purchases from SNN Systems. Paddle is the seller shown on your invoice and receipt, and the entry on your card or bank statement will read as Paddle rather than as SNN Systems. Paddle handles the payment, invoicing, sales tax and VAT on the studio's behalf, and your transaction is also subject to Paddle's own buyer terms and privacy notice.

Prices are shown in the currency and tax treatment applied at checkout. The studio may change prices for future purchases at any time; a change never affects a purchase already completed. Subscription renewals are charged at the price in effect when the period renews, and you will be told in advance if that price has gone up.

7. Refunds

Every purchase carries a 30-day money-back guarantee. The terms, and how to make a request, are set out in the refund policy, which forms part of this agreement.

8. Updates and support

Support for a product is provided through that product's own site and contact details. Anything to do with the studio rather than a product, such as licensing, invoices, data requests or a complaint, goes to contact@snnsystems.com, within the response times published on the contact page. The studio may change, add or remove features over time. Where a change materially reduces what a paid product does, reasonable notice will be given.

9. Availability

The hosted service is provided without a guaranteed uptime commitment unless one is stated in writing for your plan. Maintenance, third-party outages and other interruptions can happen. Downloadable software is supplied as a release; the studio does not promise that any version is free of defects.

10. Warranties and disclaimer

The studio warrants that it has the right to license the software to you, and that the software will perform substantially as described on this site and on each product's own site at the time you buy.

Beyond that, and to the fullest extent permitted by law, the software and the hosted service are provided "as is" and "as available", without further warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. You are responsible for keeping your own backups of any data you open, edit or store with the software.

11. Limitation of liability

To the fullest extent permitted by law, the studio is not liable for indirect, incidental, special or consequential loss, for loss of profit, revenue, goodwill or anticipated savings, or for loss or corruption of data, however caused.

Where the studio is liable, its total liability arising out of or in connection with these terms is limited to the amount you actually paid for the product in the twelve months before the event giving rise to the claim.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded. If you are a consumer, your statutory rights are not affected by this section.

12. Termination

You may stop using the software at any time. The studio may end your licence if you materially breach these terms and do not put it right within 14 days of being asked to. When a licence ends you must stop using the software and remove it from your machines. Some sections carry on after termination: ownership, disclaimers, limitation of liability, and governing law.

13. Changes to these terms

These terms may be updated. The "last updated" date at the top of this page changes when they do, and the version published here at the time of your purchase is the one that governs it. Continuing to use the software after a change means you accept the updated terms.

14. Governing law and jurisdiction

These terms are governed by the laws of Bangladesh, and the courts of Dhaka have jurisdiction over any dispute arising from them.

If you are a consumer resident elsewhere, this does not deprive you of the protection of any mandatory consumer-protection rules of the country you live in, and you may still be able to bring proceedings in your local courts.

15. General

If any part of these terms is found unenforceable, the rest continues to apply. A failure to enforce a term is not a waiver of it. You may not transfer your rights under these terms without the studio's written consent; the studio may transfer them as part of a sale or reorganisation of the business, without reducing your rights. These terms, together with the refund policy and privacy policy, are the whole agreement between you and the studio.
